Terms of Use

These Terms of Use (the "Terms") set forth the conditions for using the service "Fuwamoko Social (ふわもこSNS)" (the "Service") provided by tsukuricom LLC (the "Company").

This translation is provided for reference only. The Japanese version is the official text and prevails in case of any discrepancy.

Article 1 (Application)

  • These Terms apply to all relationships between users and the Company concerning the use of the Service.
  • In addition to these Terms, the Company may establish various provisions regarding the Service, such as rules for its use (the "Individual Provisions"). Regardless of their names, these Individual Provisions form part of these Terms.
  • If any provision of these Terms conflicts with the Individual Provisions in the preceding paragraph, the Individual Provisions prevail unless otherwise specified therein.

Article 2 (Registration)

  • Registration for the Service is completed when an applicant agrees to these Terms, applies for registration by the method specified by the Company, and the Company notifies the applicant of its approval.
  • The Company may decline to approve an application for registration if it determines that any of the following applies to the applicant, and has no obligation to disclose the reason.
    • The applicant provided false information in the application
    • The application is from a person who has previously violated these Terms
    • The Company otherwise determines that registration is not appropriate

Article 3 (Management of User IDs and Passwords)

  • Users shall properly manage their user IDs and passwords for the Service at their own responsibility.
  • Users may not, under any circumstances, transfer or lend their user IDs and passwords to any third party, or share them with any third party. If a login is made with a combination of user ID and password that matches the registered information, the Company will deem it to be use by the user who registered that user ID.
  • The Company bears no responsibility for any damage caused by the use of a user ID and password by a third party, except where the Company acted intentionally or with gross negligence.

Article 4 (Fees and Payment Methods)

  • As consideration for the paid portions of the Service, users shall pay the fees separately determined by the Company and displayed in the Service, by the method designated by the Company.

Article 5 (Prohibited Acts)

When using the Service, users shall not engage in any of the following acts.

  • Acts that violate laws and regulations or public order and morals
  • Acts related to criminal acts
  • Acts that destroy or interfere with the functions of the servers or networks of the Company, other users of the Service, or third parties
  • Acts that may interfere with the operation of the Company's services
  • Acts of collecting or accumulating personal information or the like about other users
  • Acts of unauthorized access or attempts thereof
  • Acts of impersonating other users
  • Acts of directly or indirectly providing benefits to antisocial forces in connection with the Company's services
  • Acts that infringe the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company, other users of the Service, or third parties
  • Acts of posting or transmitting on the Service content that contains, or that the Company determines contains, any of the following expressions
    • Excessively violent expressions
    • Explicit sexual expressions
    • Expressions that lead to discrimination based on race, nationality, creed, gender, social status, family origin, or the like
    • Expressions that induce or encourage suicide, self-harm, or drug abuse
    • Other expressions that contain antisocial content and cause discomfort to others
  • Acts for, or that the Company determines are for, any of the following purposes
    • Sales, publicity, advertising, solicitation, or other commercial purposes (except those approved by the Company)
    • Sexual or obscene acts
    • Meeting or dating persons of the opposite sex with whom the user is not acquainted
    • Harassing or defaming other users
    • Causing disadvantage, damage, or discomfort to the Company, other users of the Service, or third parties
    • Otherwise using the Service for purposes different from those intended by the Service
  • Posting, sharing, or promoting content that constitutes child sexual abuse and exploitation (CSAE). If a violation is confirmed, the Company will take measures such as suspending the account.
  • Religious activities or solicitation for religious organizations
  • Posting content that does not fit the purpose of the Service, which is sharing information about and interacting over plushies
  • Any other acts that the Company determines to be inappropriate

Article 6 (Suspension of the Service)

  • The Company may suspend or interrupt the provision of all or part of the Service without prior notice to users if it determines that any of the following applies.
    • Maintenance, inspection, or updating of the computer systems related to the Service is performed
    • Provision of the Service becomes difficult due to force majeure such as an earthquake, lightning, fire, power outage, or natural disaster
    • Computers, communication lines, or the like stop due to an accident
    • The Company otherwise determines that provision of the Service is difficult
  • The Company bears no responsibility for any disadvantage or damage suffered by users or third parties due to the suspension or interruption of the provision of the Service.

Article 7 (Copyright)

  • Users may use the Service to post or upload only text, images, videos, and other information for which they hold the necessary intellectual property rights such as copyright, or for which they have obtained permission from the necessary rights holders.
  • The copyright in text, images, videos, and the like posted or uploaded by users through the Service is reserved to the relevant user or other existing rights holders. However, the Company may use text, images, videos, and the like posted or uploaded through the Service to the extent necessary for improving the Service, enhancing its quality, correcting defects, and publicizing the Service, and users shall not exercise moral rights of authors with respect to such use.
  • Except as provided in the main text of the preceding paragraph, all copyrights and other intellectual property rights in the Service and all information related to the Service belong to the Company or to the rights holders who have licensed their use to the Company, and users shall not, without permission, reproduce, transfer, lend, translate, modify, reprint, publicly transmit (including making transmittable), transmit, distribute, publish, or commercially use them.
  • The copyright in content (images, text, etc.) that users post to the Service belongs to the users; however, users grant the Company, free of charge, permission to use such content (including reproduction, display, distribution, and public transmission) for the operation, provision, and promotion of the Service and related services provided by the Company.

Article 8 (Restriction of Use and Deregistration)

  • If a user falls under any of the following, the Company may, without prior notice, delete posted data, restrict the user's use of all or part of the Service, or cancel the user's registration.
    • The user violates any provision of these Terms
    • It is found that the registered information contains false facts
    • The credit card registered by the user as a payment method is suspended
    • The user defaults on payment obligations such as fees
    • The user does not respond to communications from the Company for a certain period
    • The user has not used the Service for a certain period since the last use
    • The user makes posts that do not fit the purpose of the Service
    • The Company otherwise determines that the user's use of the Service is not appropriate
  • If the Company determines that content posted by a user does not fit the purpose of the Service, which is sharing information about and interacting over plushies, the Company may delete it without prior notice. In addition, if such posts are repeated or the Company otherwise deems it necessary, the Company may restrict the use of all or part of the Service or cancel the user's registration.
  • If a user falls under any item of paragraph 1, the user naturally loses the benefit of time for all debts owed to the Company and shall immediately repay all debts owed at that time in a lump sum.
  • The Company bears no responsibility for any damage caused to users by acts performed by the Company under this Article.

Article 9 (Withdrawal)

Users may withdraw from the Service through the withdrawal procedure specified by the Company.

Article 10 (Disclaimer of Warranties and Exemption from Liability)

  • The Company does not warrant, either expressly or impliedly, that the Service is free from defects in fact or in law (including defects regarding safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, and security, as well as errors, bugs, and infringement of rights).
  • The Company bears no responsibility for any damage caused to users by the Service. However, this exemption does not apply if the contract between the Company and a user regarding the Service (including these Terms) constitutes a consumer contract as defined in the Consumer Contract Act of Japan.
  • Even in the case set forth in the proviso of the preceding paragraph, the Company bears no responsibility for damage arising from special circumstances (including cases where the Company or the user foresaw or could have foreseen the occurrence of the damage) among the damage caused to users by default or tort due to the Company's negligence (excluding gross negligence). In addition, compensation for damage caused to users by default or tort due to the Company's negligence (excluding gross negligence) is limited to the amount of fees received from the user in the month in which the damage occurred.
  • The Company bears no responsibility for transactions, communications, disputes, or the like that arise between users and other users or third parties in connection with the Service.

Article 11 (Changes to the Service)

The Company may change the content of the Service or discontinue the provision of the Service without notice to users, and bears no responsibility for any damage caused to users as a result.

Article 12 (Changes to the Terms)

The Company may change these Terms at any time without notice to users when it deems it necessary. If a user starts using the Service after these Terms have been changed, the user is deemed to have agreed to the changed Terms.

Article 13 (Handling of Personal Information)

The Company will appropriately handle personal information obtained through the use of the Service in accordance with the Company's "Privacy Policy."

Article 14 (Notices and Communications)

Notices and communications between users and the Company shall be made by the method specified by the Company. Unless a user submits a notice of change in accordance with the method separately specified by the Company, the Company will deem the currently registered contact information to be valid and send notices or communications to it, and these are deemed to have reached the user at the time of sending.

Article 15 (Prohibition of Assignment of Rights and Obligations)

Users may not assign to any third party, or provide as security, their position under the usage agreement or their rights or obligations under these Terms without the prior written consent of the Company.

Article 16 (Governing Law and Jurisdiction)

  • These Terms are governed by and construed in accordance with the laws of Japan.
  • Any dispute arising in connection with the Service shall be subject to the exclusive agreed jurisdiction of the court having jurisdiction over the location of the Company's head office.
